Face-to-face meeting in Tucson
RESOLUTION 2006-01: The draft audit performed by KPMG for fiscal year 2005 is accepted by the Board.
RESOLUTION 2006-02: Approve Cliff Gunderson, CPA for independent auditors for fiscal year 2006 and beyond.
RESOLUTION 2006-03: Approve costs for aluminizing of telescope mirror and insurance coverage for same.
RESOLUTION 2006-04: Resolved that the Five-year Review be completed before the next Board Meeting.
RESOLUTION 2006-05: WIYN Director is authorized to spend $100,000 with approval of one Board officer. Expenditures over this amount require authorization of Board President and one officer.
RESOLUTION 2006-06: Permission granted to Kathy Irwin to spend up to $5,000 to consult legal counsel.

RESOLUTION 2006-07: BE IT RESOLVED that any in-kind contribution accepted by the Board as provided in Section 22 of the WIYN Agreement shall include overhead equal to the indirect costs (F&A costs) at the rate and application approved by the federal cognizant agency for the Member providing the in-kind contribution.
RESOLUTION 2006-08: BE IT RESOLVED that the WIYN Director is delegated the authority as provided in Section 4.4(c) of the WIYN By-Laws to enter into any contract necessary or proper to carry out the purposes of WIYN as set forth in the Articles of Incorporation or which shall be authorized by the Board to carry out such purposes.
RESOLUTION 2006-09: BE IT RESOLVED that the Board accepts the University of Wisconsin-Madison's in-kind contribution of the service of ODI Project Manager John Cavin for the period March 1, 2006 through December 31, 2006. The amount approved for that period is 75% of Dr. Cavin's salary, with fringe benefits of 34%, overhead of 26% and travel expenses (as of November 20, 2006) for a total credit of $134,734.
RESOLUTION 2006-10: BE IT RESOLVED that the 5-year review of the WIYN Observatory required under Section 20 of the WIYN Agreement be completed by Fall of 2007.
